Public Offer

This document is the official proposal (a public offer within the meaning of articles 633 and 641 of the Civil Code of Ukraine) of the sole proprietor specified in the “Details” section (the “Provider”) to enter into a service agreement for the rombik service on the terms below with any legally capable person (the “User”). Acceptance (full and unconditional) of the offer is payment for the services; from that moment the agreement is deemed concluded.
1. Definitions
“Service” (rombik) — the website and related apps/API that turn source code or a text description into flowcharts and allow exporting them to various formats.
“Export” — a unit of service: one clean (unwatermarked) file download of a chart; code conversion and watermarked preview are free. Deducted from the User’s balance.
“Pro” — a paid period of extended editor features granted for a set number of days.
“Acceptance” — the User’s full and unconditional acceptance of this offer by paying for services.
2. Subject
The Provider grants the User access to the Service features: flowchart generation, export to image and document formats, the Pro editor and the programmatic API — according to the chosen and paid volume.
The list of services, their volume and price are stated on the pricing page and in the User’s account.
3. Price and payment
Prices are set by the Provider in Ukrainian hryvnia (UAH) and shown as such on the Ukrainian version of the site and in the account; on the English version they are shown in US dollars (USD) for reference. The Provider may change prices; already-paid services use the price at the moment of payment.
Prices displayed in US dollars (USD) on the English version of the site are indicative and shown exclusive of taxes. Any value-added tax (VAT) or sales tax applicable in the User’s country is calculated and added at checkout, and the currency actually charged may differ; the final amount payable is the one shown at the checkout step. Where a payment is processed by a merchant of record (payment provider acting as reseller), that provider may collect the applicable taxes.
Payment is made online by card via the “plata by mono” internet acquiring service (JSC Universal Bank, Monobank): Visa, Mastercard, Apple Pay and Google Pay. Card data is processed on the bank’s secure side; the Provider does not store card details.
For international payments, payment may be made through Paddle.com Market Limited (“Paddle”), acting as reseller and Merchant of Record: Paddle sells the digital services in its own name, accepts card payment, issues the invoice and receipt, and independently assesses, collects and remits applicable indirect taxes (VAT / sales tax) based on the User’s country. The final amount including tax is shown at Paddle’s checkout step. Card data is processed on Paddle’s secure side; the Provider does not store it.
Settlements for services are made exclusively online via banking services. The customer is provided with a payment receipt; cash registers (RRO/PRRO) are not applied pursuant to clause 14, article 9 of the Law of Ukraine “On the Use of Payment Transaction Recorders in Trade, Public Catering and Services”.
A service is deemed rendered the moment exports are credited to the balance or the Pro period is activated, which happens automatically right after a successful payment.
4. Refunds
Credits (“schemas”): the User may request a refund for UNUSED schemas. Refunds go to the same card used for payment.
For payments processed through Paddle, refunds are handled in accordance with Paddle’s policy and returned via the original payment method; a request may be submitted via the account or directly to Paddle using the receipt provided.
Pro: Pro is a digital service provided immediately after payment with the User’s consent. By purchasing Pro, the User consents to the immediate start of the service and waives the right to withdraw from it. Pro payments are NON-REFUNDABLE.
Refund requests are submitted via the account or the contact address in the “Details” section. Review takes up to 14 days.
5. Rights and obligations
The Provider undertakes to keep the Service operational and credit paid services. The Provider may perform maintenance with temporary downtime.
The User undertakes to provide accurate data, comply with the law and not abuse the Service (automated abuse, limit circumvention, etc.).
6. Liability
The Service is provided “as is”. The Provider does not warrant fitness for a particular purpose and is not liable for decisions the User makes based on generated charts.
The Provider’s aggregate liability is limited to the amount paid by the User for services during the last month.
7. Personal data
Personal data is processed under the Privacy Policy available on the site. By accepting the offer, the User agrees to its terms.
8. Force majeure
The parties are released from liability for failure to perform due to force majeure (including hostilities, power and communication outages, provider and payment-system failures).
9. Intellectual property
Proprietary rights to the Service (source code, design, the rombik trade name) belong to its author; the service under this agreement is provided by the Provider. The User receives a non-exclusive right to use the Service within the paid scope.
Flowcharts generated by the User and their exports belong to the User — they may be used freely, including for commercial and educational purposes.
10. Disputes and governing law
This agreement is governed by the law of Ukraine. The parties resolve disputes through negotiation, and failing agreement — in court under the law of Ukraine.
11. Term and changes
The agreement is effective from acceptance until the parties fully perform their obligations. The Provider may change the offer by publishing a new version on the site; the version effective at the moment of payment applies.
